1. General
These general terms and conditions apply to members in Svenska Krögare AB (org.nr 556805-7938) (“SK”) and supplement the membership agreement entered into between the parties (“the Membership Agreement”). In the event of any conflict, the Membership Agreement shall prevail.
2. Membership and purpose
As a member of SK, the member gains access to negotiated purchasing agreements, analysis of purchases, and the opportunity for discounts, bonuses and other financial benefits linked to their purchases (“Membership Benefits”).
3. Purchasing data, analysis and cooperation
The member agrees that SK may access relevant purchasing data in accordance with the Membership Agreement.
SK uses this data to:
analyze the member's purchases
identify savings opportunities
improve contractual terms
administer discounts and bonus programs
SK may, based on analysis of purchasing data, provide recommendations regarding product selection, suppliers and contract structure.
The member undertakes, to a reasonable extent, to cooperate with SK and its suppliers to enable access to accurate purchasing data and implementation of relevant contractual terms.
4. Use and sharing of data
SK has the right to use purchasing data for the purpose of developing its services and membership benefits.
Data may be shared with suppliers and partners to the extent required to:
administer discounts and bonuses
follow up on agreements
improve offers
Such sharing shall, where possible, take place in aggregated or anonymized form.
SK has the right to use available purchasing data to identify and manage overlapping compensation models.
5. Double compensation (“double dip”)
The member shall, to the extent known to the member, inform SK of existing or new direct agreements with suppliers that mean that the member receives a bonus, discount or other financial compensation linked to the same purchases covered by SK's program.
If the member receives such compensation, SK has the right to reduce, offset or entirely waive corresponding bonus or compensation within the framework of SK's program, in order to avoid double compensation for the same purchase.
SK has the right to, based on available purchasing data, make such assessment and adjustment. The member shall, upon request, assist with relevant information to enable correct handling.
SK has the right to make the final decision on how such adjustment shall be made.
This provision does not imply any obligation for the member to terminate existing supplier agreements.
6. Supplier agreements
The member enters into agreements directly with each supplier. SK is not responsible for suppliers' pricing, availability or other commitments.
SK cannot guarantee that specific terms or prices from suppliers are maintained over time.
7. Membership fee
Any membership fee is set out in the Membership Agreement. The fee may be regulated through deductions from paid bonuses or according to a separate agreement between the parties.
SK has the right to adjust the membership fee with reasonable notice. The member shall in such case be informed in advance.
8. Amendment of terms
SK has the right to update these general terms and conditions. In the event of material changes, the member shall be informed in advance.
9. Termination
The membership applies until further notice with a notice period of one (1) month in accordance with the Membership Agreement.
SK has the right to terminate the membership with immediate effect in the event of a material breach of contract.
10. Limitation of liability
SK is not liable for indirect damages or consequential damages.
SK's total liability under these terms is in all circumstances limited to the amount the member has paid to SK during the last twelve (12) months.
11. Personal data
Processing of personal data takes place in accordance with applicable data protection legislation (GDPR) and SK's privacy policy as in force from time to time.
12. Dispute
In the event of any dispute, the provisions stated in the Membership Agreement shall apply
